A. No, if the center monster is destroyed by a Counterattack, damage will not be dealt by Penetrate. Penetrate is a keyword ability which activates only when your opponent's center monster is destroyed by an attack. Damage cannot be dealt if the monster is destroyed by methods other than an attack.

Q. Can cards or abilities with [Counter] be cast or used during the Final Phase?
A. Yes, they can. You can cast cards or use abilities with [Counter] even against your opponent's impact cards. On top of that, even if no impact cards are cast, there is a timing for [Counter] cards to be used during the Final Phase too.
